Terms of Service

These terms are an agreement between you and Grin Studio OÜ about using VoiceKeyboard: the desktop app (the Free version and a Pro subscription), our license server and this website. Please read them together with our Privacy Policy and Refund Policy. By installing or using VoiceKeyboard you accept these terms. If you do not accept them, please do not use the app.

Nothing in these terms takes away rights you have as a consumer under the law of the country where you live.

1. Who we are

VoiceKeyboard is made by Grin Studio OÜ, a private limited company registered in Estonia (registry code 12261817; not registered for VAT), Vesipapi tn 4-19, 12916 Tallinn, Estonia. Contact: actualizator@gmail.com.

In these terms, "we" and "us" mean Grin Studio OÜ, and "you" means the person using the app.

2. The app and the plans

VoiceKeyboard is one app. Without a license it runs as the Free version. A Pro subscription unlocks the Pro features in the same app.

Free includes:

2,000 words of dictation a day across all engines together (the standard engine and the offline engines);
1 file and 1 video link transcribed a day, each up to 60 minutes;
the core features: hotkey, auto-stop, calibration, mini windows and the other basics.

Daily limits reset at midnight, by the clock of your computer.

Pro includes:

unlimited dictation with the standard and offline engines;
the premium Soniox engine, with a monthly allowance of credits (section 5);
unlimited file and link transcription, several files at once, and timestamps;
all five tube styles and their fine tuning;
use on up to 3 computers, and offline use until the end of the paid period (section 6).

The current list of features and prices is on our website. The app currently runs on Windows 10 and 11.

3. Buying Pro: who sells it to you

Pro is sold through Link, the checkout service of our payment partner Stripe. Your order is marked "Sold through Link": Link acts as the reseller and merchant of record. That means Link takes your payment, calculates and collects any VAT or sales tax, sends your receipts and invoices, and handles payment questions. Your payment is governed by Link's own terms (link.com/terms) and privacy policy (link.com/privacy). Your card statement shows a "LINK.COM" description.

We remain the maker of VoiceKeyboard. We grant you the license to use the app (section 7), we are responsible for the app and its features, and we provide product support. If anything about the app is wrong, contact us first: actualizator@gmail.com.

Prices are shown on our website. The final price, including taxes, is shown at checkout, where you may also see it in your local currency.

4. Subscription, renewal and cancellation

Pro is a subscription, paid monthly or yearly. There is no lifetime license.
Your subscription renews automatically at the end of each period, for the same length of time, at the price that applies then (section 13), until you cancel. Before a yearly subscription renews, you receive a reminder e-mail.
You can cancel at any time in your Link account at link.com, or by writing to us. Cancelling stops the next renewal. Pro stays active until the end of the period you have already paid for; after that the app works as the Free version.
If a renewal payment fails, Pro stays active until the end of the period already paid for. If the payment is not completed, Pro then ends.
Refunds are covered by our Refund Policy: in short, a full refund within 14 days of your first purchase, no questions asked.

5. The Soniox engine and credits

Soniox is a premium online speech engine run by Soniox Inc. It is included in Pro with an allowance of credits:

1,500 credits for each monthly period. 1 credit = 1 minute of audio processed by Soniox. Minutes are measured by Soniox and include pauses, because Soniox processes the whole recording.
Monthly periods are counted from the date of your first payment and apply to yearly subscriptions too: if you paid on the 28th, you get 1,500 new credits on the 28th of every month. If a month has no such date, the period starts on its last day.
Unused credits expire at the end of each monthly period. They do not roll over, have no cash value and cannot be transferred.
The app shows how many credits you have left.
When your credits run out, or Soniox is unavailable, dictation continues with the standard engine (Google) or an offline engine until your next period starts. Nothing else stops working.
A long recording on Soniox continues without a time limit, in consecutive sessions, while you have credits.
Online engines (Soniox and the standard engine) stop automatically after at most one minute of silence, so that you do not use up credits on silence.
A recording that is already running may finish slightly beyond your remaining credits. We do not charge you for this.

6. License check, computers and offline use

After you buy Pro, you receive a license code by e-mail and on the thank-you page. Enter it in the app to activate Pro.
One subscription may be used on up to 3 computers of the same person. You can release a computer in the app to free its place for another one. If you can no longer reach an old computer, contact us and we will release it.
To recognise a computer, the app sends our server one-way, salted hashes of four hardware and system identifiers. See the Privacy Policy.
Pro is confirmed online. When your computer is connected, the app renews its confirmation about once a day.
Without an internet connection, Pro keeps working until the end of the period you have paid for, as confirmed at the last connection, plus 3 days. After that the app works as the Free version until it can connect again.
The Free features and the offline engines work without the internet at any time. The standard engine and Soniox need the internet. Soniox also needs a confirmed Pro license.
If Pro cannot be confirmed, the app simply continues as the Free version. This can happen, for example, when the subscription has ended, the payment was refunded, or the license file was changed or copied from another computer. It never deletes or changes your files or texts.

7. Your license to use VoiceKeyboard

The app is licensed, not sold. We grant you a personal, non-exclusive, non-transferable license to install and use VoiceKeyboard for your own purposes, including at work, under these terms:

the Free version on any number of your computers;
with Pro, the Pro features for one person on up to 3 computers while your subscription is paid.

We and our licensors keep all rights in the app, its design, sounds and texts. The app includes open-source components and can download speech models made by others. These are provided under their own licenses, listed in the app's third-party notices, and nothing in these terms limits your rights under those licenses.

8. Fair and lawful use

You must not:

bypass, disable or tamper with the license check, the daily limits or the credit allowance, or use cracked copies or key generators;
share, publish, sell or rent your license code or subscription, or let other people use your Pro;
extract or misuse the temporary Soniox keys or our server, or use VoiceKeyboard to offer speech recognition to others as a service;
decompile or reverse-engineer the app, except where the law expressly allows it;
overload, attack or disrupt our server or the speech services.

Use VoiceKeyboard lawfully. In particular, record or transcribe other people only where you are allowed to (for example, with their consent where the law requires it), and transcribe files and video links only if you have the right to do so and the website's terms allow it.

If a license code is shared, published or misused, we may disable it. If you seriously breach these terms, we may suspend or end your license. We will act in proportion to the breach and, where we reasonably can, tell you first and give you a chance to fix the problem.

9. Speech engines and other services

The standard engine is Google's speech recognition, used through Google Chrome. It is Google's free service: Google provides it under its own terms and may change or stop it without notice. We cannot guarantee that it stays available.
Soniox is a third-party service. If it is unavailable, the app switches to the standard engine or an offline engine.
Offline engines are third-party speech models that run on your computer.
Speech recognition is never perfect. Check the text before you send or rely on it, especially for medical, legal, financial or other important records.

10. Updates

The app checks for updates once a day and installs them when you exit. Automatic updates are on by default; you can turn them off in the settings and update manually. We provide the updates needed to keep the app working as described, and security fixes. Very old versions may stop receiving Soniox and ask you to update.

11. Your content

The text you dictate and the transcripts of your files belong to you. We do not receive them. You are responsible for what you dictate and transcribe. How your audio and data are handled is explained in the Privacy Policy.

12. Changes to the app

We keep improving VoiceKeyboard, so features may change. We may change the limits and features of the Free version at any time.

For Pro, we change features only for a valid reason, such as security, a change by a third-party service (for example, the speech engines), a legal requirement, or an improvement. Such changes never cost you extra. If a change would make Pro noticeably worse for you, we tell you at least 30 days in advance by e-mail or in the app. You can then cancel, and we refund the unused part of any period you have paid for in advance.

13. Changes to prices and these terms

Prices. A new price applies only from your next renewal after we tell you about it, at least 30 days in advance. If you do not agree, you can cancel before the renewal.
These terms. We may update these terms, for example for new features or legal changes. For important changes, we tell subscribers at least 30 days in advance. If you do not agree, you can cancel before the change takes effect, and we refund the unused part of any period you have paid for in advance. The "Last updated" date at the top shows the current version.

14. Ending the agreement

You can stop using VoiceKeyboard at any time and cancel your subscription as described in section 4.

We may end your license under section 8. If we stop offering Pro for reasons that are not your fault, we tell you in advance and refund the unused part of any period you have paid for in advance. Sections that by their nature should continue after the agreement ends (for example, sections 15 and 17) remain in force.

15. Our responsibility to you

If you are a consumer, you have legal rights when digital content or a digital service is faulty or not as described, including under EU consumer law and the Estonian Law of Obligations Act. These terms do not limit those rights.

Beyond those rights, and to the extent the law allows:

the Free version and the third-party engines are provided "as is";
we do not promise that the app will always be available, free of errors, or that recognition will be accurate;
we are not responsible for losses that we could not reasonably foresee, or for indirect losses such as lost profits or business opportunities;
please keep copies of important texts and files.

If you use VoiceKeyboard for business, our total liability for any claim is limited to the amount you paid for Pro in the 12 months before the claim.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for intentional or grossly negligent breaches, for fraud, or for anything else that cannot be limited by law.

16. Where Pro is not offered

We do not offer VoiceKeyboard Pro in Russia, or in countries and regions subject to comprehensive sanctions of the European Union or the United Nations. You may not buy or use Pro if you are located there, or if you are a person subject to such sanctions. If a purchase breaks these rules, we may cancel it and refund it where the law requires.

17. Law and disputes

These terms are governed by the law of Estonia. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country.

If you have a complaint, please contact us first at actualizator@gmail.com. We will try to solve it quickly. Consumers can also turn to the Estonian Consumer Disputes Committee, which resolves disputes with Estonian businesses free of charge. Business users agree that disputes go to Harju County Court in Tallinn, Estonia.

18. Other terms

If a part of these terms is found invalid, the rest remains in force.
If we do not enforce a right immediately, we do not give it up.
We may transfer this agreement to a company that takes over VoiceKeyboard. This will not reduce your rights.
These terms are written in English. If we provide a translation and the two differ, the English version applies, unless the law of your country requires otherwise.
